1. Parties & Status These Terms apply to all professional engagements where Digitall-UK-Group (“the Contractor”) provides services to any business, organisation, or client (“the Company”). The Contractor operates entirely on a self-employed basis and is not an employee, worker, or agent of any Company. Nothing in these Terms shall create an employment relationship, partnership, or joint venture.
2. Engagement & Scope of Work Digitall-UK-Group provides marketing, business support, and related services as requested by the Company. The nature and scope of such work may vary and will be performed with reasonable care, skill, and diligence in accordance with professional standards.
3. Working Hours & Availability The Contractor agrees to provide up to 87 hours of services as part of the agreed notice or termination period, unless otherwise agreed in writing. The Contractor retains discretion regarding working methods and scheduling, provided that reasonable deadlines and quality expectations are met.
4. Fees & Payment Service rates are agreed individually and confirmed in writing before commencement. Payment shall be made against invoices issued by the Contractor. The Contractor is responsible for their own tax, National Insurance, and all statutory obligations arising from self-employment.
5. Early Termination & Notice Either party may terminate the engagement by providing notice equivalent to 87 hours of contracted work. If a Company terminates the engagement without the required notice or without cause, a £1,100 early termination payment shall be payable to Digitall-UK-Group in lieu of notice. If the Contractor ceases engagement without providing the required 87 hours of work or equivalent notice, payment for any unworked portion of the notice period may be withheld.
6. Leave & Absence The Contractor is not entitled to paid holidays, statutory leave, or paid breaks. The Contractor will provide a minimum of 7 days’ notice for any period of unpaid leave. In cases of illness or incapacity, the Contractor will notify the Company as soon as reasonably possible. Sick leave is unpaid. Any unforeseen illness or incapacity shall not constitute a breach of contract and will be treated as a force majeure event for the duration of incapacity.
7. Liability & Insurance Digitall-UK-Group shall maintain appropriate professional and public liability insurance and accepts responsibility for losses arising from its own negligence or misconduct. The Company’s total liability to the Contractor shall be limited to fees properly due for work completed up to the date of termination.
8. Confidentiality Both parties agree to keep all confidential or proprietary information strictly private and not to disclose it to third parties without prior written consent, except where disclosure is required by law.
9. Independent Status Digitall-UK-Group acknowledges full responsibility for all tax affairs, pension contributions, and statutory payments. Nothing in these Terms shall be construed as conferring any entitlement to holiday pay, sick pay, redundancy, or other employment benefits.
10. Governing Law These Terms are governed by the laws of England and Wales, and any disputes shall fall within the exclusive jurisdiction of the courts of England and Wales.
By engaging or continuing to engage Digitall-UK-Group, the Company acknowledges and agrees to these Independent Contractor Terms.
